9.4 Novation

When directed by the Principal, the Coniracior, wIthout being entitled to compensation, shall promptly execute a deed of novation

in the form included in the invitation to tender, such deed being between the Principal. the Contractor and the subcontractor or

sekcied subcontractor stated in item IS for the particular part of WUC.

9.5 Contractor’s responsibility

Except where the Contract otherwise provides, the (‘oniraclor shall be liable to the Principal for the acts, defaults and

omissions of subcontractors (including selected .suhconlraclors) and employees and agents of subcontractors as if they were those

of the Contractor.

Approval to subcontract shall not relieve the Contractor from any liability or obligation under the Contract.

10 Intellectual property rights

The Principal warrants that, unless otherwise provided in the Contract, design, materials, documents and methods of working, each

specified in the Conirac-i or provided or directed by the Principal or the Superintendent shall not infringe any intellectual

properly right.
